MediaKind to acquire Harmonic’s video business in $145 Million deal

Harmonic has reached an agreement to sell its Video business to MediaKind in an all-cash transaction valued at approximately $145 million (€134.9 million). The move will allow Harmonic to focus exclusively on its broadband technologies, while MediaKind strengthens its position as a global leader in video delivery infrastructure.

MediaKind has made a binding offer for the acquisition, with the deal expected to close in the first half of 2026, subject to regulatory approvals, consultation with Harmonic’s French employee works council, and other standard closing conditions.

The sale marks a strategic turning point for Harmonic, which has been shifting resources toward its virtualised broadband and cloud-native network solutions. The company said the transaction would streamline operations, strengthen its balance sheet, and provide new capital to accelerate growth and enhance shareholder value.

“This strategic transaction will, if completed, advance the growth strategies of both companies,” said Nimrod Ben-Natan, Harmonic’s President and CEO. “It allows Harmonic to sharpen its focus on broadband innovation, while ensuring the Video business — along with its customers and employees — joins an organisation fully committed to advancing video delivery.”

The divestiture follows several quarters of growth in Harmonic’s broadband segment, driven by demand for virtualised access solutions and cloud-based service platforms. Analysts view the sale as a logical next step for the company, allowing it to channel resources into scaling its broadband infrastructure footprint.

For MediaKind, the acquisition represents a major expansion of its technology and customer base. CEO Allen Broome said combining the two organisations will create “the leading independent streaming infrastructure company,” supported by an enlarged R&D foundation and a more diversified product portfolio.

“By joining Harmonic’s Video business with MediaKind, we would strengthen our ability to invest across our entire portfolio, giving customers a stronger, more reliable partner to power the future of video,” Broome added.

MediaKind — a joint venture spun out of Ericsson’s Media Solutions division has been actively expanding its software-defined video delivery and cloud processing capabilities. The integration of Harmonic’s video assets is expected to reinforce its end-to-end streaming offer across live, linear, and on-demand video services.

Harmonic confirmed that the transaction will proceed following standard reviews and employee consultations in France, where part of its video division operates. The company reaffirmed its Q4 2025 guidance and referred investors to its third-quarter financial report for more details on expected impacts.

If approved, the deal will transfer Harmonic’s video portfolio — including its compression, playout, and cloud-streaming technologies — to MediaKind. Analysts expect the integration to strengthen MediaKind’s position among major infrastructure providers competing in a rapidly consolidating market shaped by cloud migration, IP workflows, and streaming scale demands.

Harmonic said the proceeds from the sale would give it greater flexibility to pursue organic growth and potential acquisitions within the broadband domain. The company aims to expand its leadership in cloud-based access networks and virtualised cable solutions, where it has seen strong adoption among broadband service providers globally.
