BT Group has acquired TalkTalk Telecommunications and PlatformX Communications from the administration of TalkTalk Group on a debt-free basis, in a transaction expected to have a total cash impact of around £400 million in FY27.
The acquisition secures continuity for TalkTalk’s 1.5 million retail customers and 1 million wholesale customers across the UK. BT said the transaction also provides reassurance for employees and organisations relying on TalkTalk connectivity, including providers operating across health, emergency services, defence, education, transport, banking and government.
TalkTalk generated approximately £1.2 billion in revenue during the past 12 months, although the company remained loss-making. BT expects the acquisition to become value-accretive over time as TalkTalk is stabilised, integrated into the group and operational synergies are realised.
The transaction remains subject to regulatory review. Until that process is completed, BT and TalkTalk will continue operating separately and competing in the UK market. BT has appointed Clive Selley to lead integration planning with immediate effect.
BT CEO Allison Kirkby described the acquisition as the only viable option for maintaining services to millions of households and businesses following TalkTalk’s financial difficulties. BT has also reconfirmed its FY27 and longer-term financial outlook despite the acquisition.
The deal has already attracted criticism from Virgin Media, which questioned the competitive implications of allowing BT to acquire TalkTalk and argued that the transaction could further strengthen the incumbent’s position in the UK connectivity market.
Industry analysis suggests the acquisition could increase BT’s share of the fixed broadband market from approximately 29% to 35%. The transaction is also expected to safeguard around 900 jobs, while preserving service continuity for more than 2.4 million customers.
